Company types in Andorra: your questions answered.
Which company structure should I choose in Andorra?
It all depends on your objective. For operating a business, an SL covers most cases; for fundraising, an SA; for holding shareholdings, a holding company; for asset protection, a wealth company. We make the call together.
SL or SA: what is the difference?
The SL requires 3 000 € in capital and offers flexible management: it is the standard choice. The SA requires 60 000 €, with freely transferable shares, and is the right vehicle for large projects, fundraising rounds and regulated financial activities.
Holding or wealth company?
A holding company primarily owns stakes in other companies and optimises dividend flows upstream. A wealth company holds assets such as real estate and financial investments. Both facilitate succession planning.
Do I need to live in Andorra to incorporate?
No, regardless of the structure chosen. A non-resident holding more than 10 % of the share capital requires a foreign investment authorisation, which we handle on your behalf. Tax residency remains a separate option, with its own distinct advantages.
How long does incorporation take, and what does it cost?
As a rule, allow 8 to 12 weeks depending on the structure and your profile. The total cost covers notary fees, registration and our advisory fee: we provide a clear, all-inclusive quote from the very first meeting.
Can the structure be changed later?
Yes, a company can evolve over time (conversion, creation of a holding above it, etc.). But choosing the right structure from the outset avoids unnecessary costs — which is precisely the value of our initial advisory session.
