The share capital

The SL requires 3 000 € of capital, fully paid up ; the SA, 60 000 €, of which a minimum of 25 % is paid up at incorporation. This amount is deposited into the incorporation account at an Andorran bank — then it belongs to your company, which uses it for its activity : working capital, equipment, first rent payments.

The official fees

Registration with the Companies Register comes to around 958 € for an SL and 1 395 € for an SA, according to the fee schedule in force — confirmed to the cent at our first exchange. Item 03 · Notarial deed

The notary

Incorporation is executed by an Andorran notary : drafting the bylaws, verifying powers and contributions, signing the deed. Fees are generally observed at between 500 and 3 000 € excl. VAT : a single-shareholder SL sits at the lower end of the range ; a multi-shareholder structure with specific clauses, at the higher end.
